29-755. Abandonment of merger or consolidation Unless the plan of merger or consolidation provides otherwise, a proposed merger or consolidation may be abandoned before the effective date of the merger or consolidation by a vote of all of the members of each limited liability company that is a party to the proposed merger or consolidation, unless its operating agreement provides otherwise, and by the vote of each other business entity that is a party to the proposed merger or consolidation in a manner required by the laws of the jurisdiction in which it is organized.
