41-3903. Governing board; members; appointment; qualifications; terms; officers; meetings; compensation A. The authority shall be governed by a board of directors, consisting of seven members to be appointed by the governor pursuant to section 38-211, giving due consideration to a diverse geographical representation on the board. All members shall be residents of this state and not more than four shall belong to the same political party. B. Each member shall serve for a term of seven years. Vacancies occurring other than by expiration of term shall be filled in the same manner for the remainder of the unexpired term. C. The board shall annually elect from among its members a chairperson, a secretary and a treasurer. D. The board rules shall provide for regular annual meetings of the board. The chairperson may call a special meeting at any time. The board rules shall provide for a method of giving notice of a special meeting. E. The board may meet by audioconference or videoconference. The requirements of title 38, chapter 3, article 3.1 apply to an audioconference or videoconference, except that all votes of members must be by roll call and the board may not meet in executive session by audioconference or videoconference. F. Members of the board are not eligible to receive compensation but are eligible to receive reimbursement for necessary expenses while engaged in the performance of the members' duties.
