490A.1303 WINDING UP. Unless otherwise provided in the articles of organization or an operating agreement, members who have not wrongfully dissolved a limited liability company may wind up the limited liability company's affairs; but the district court of the county in which the registered office of the limited liability company is located, on cause shown, may wind up the limited liability company's affairs on application of any member, member's legal representative, or member's assignee.          Section History: Recent Form 92 Acts, ch 1151, § 70 Referred to in § 490A.305
