491.104 - MEETINGS OF SHAREHOLDERS. - Iowa Statutes

491.104 MEETINGS OF SHAREHOLDERS. The board of directors of each corporation, upon approving such plan of merger or plan of consolidation, shall, by resolution, direct that the plan be submitted to a vote at a meeting of shareholders, which may be either an annual or a special meeting. Written or printed notice shall be delivered not less than twenty days before such meeting, either personally or by mail, to each shareholder of record entitled to vote at such meeting.
