Chapter 56a.--KANSAS UNIFORM PARTNERSHIP ACT Article 11.--FOREIGN LIMITED LIABILITY PARTNERSHIP

      56a-1101.   Law governing foreign limited liabilitypartnership.(a) The laws under which a foreign limitedliabilitypartnershipis formed govern relations among the partners and between the partners and thepartnership and the liability of partners for obligations of the partnership.

      (b)   A foreign limited liability partnership may not be denied a statement offoreign qualification by reason of any difference between the laws under whichthe partnership was formed and the laws of this state.

      (c)   A statement of foreign qualification does not authorize a foreignlimited liability partnership to engage in any business or exercise any powerthat a partnership may not engage in or exercise in this state as a limitedliability partnership.
