Section 303.23 Certificate Issued by Secretary of State

303.23 CERTIFICATE ISSUED BY SECRETARY OF STATE.

Subdivision 1.Prima facie evidence; recording.

Copies of the certificates certified, and any certificate issued pursuant to the provisions of this chapter, by the secretary of state shall be prima facie evidence of the matters stated therein.

Subd. 2.Certificate that corporation has no certificate of authority.

A certificate of the secretary of state to the effect that a foreign corporation is not authorized to transact business in this state shall be prima facie evidence of the facts therein stated.
