Action or vote without meeting, consent required.

347.083. Unless otherwise provided in the operatingagreement, any action or vote which must be taken at a meeting ofthe members or managers, as the case may be, may be taken withouta meeting if a consent in writing, setting forth the action sotaken, is signed by all of the persons entitled to act or votewith respect to such matter. Such consent shall have the sameeffect as an act or vote of such persons.
