Members--additional members.

347.113. 1. A person is a member at the time the limitedliability company is formed if such person is identified as amember in and signs, in person or by an attorney in fact, orotherwise becomes a party to the operating agreement.

2. A person may be admitted as an additional member bysigning, in person or by an attorney in fact, or otherwisebecoming a party to the operating agreement and by complying withthe applicable terms and conditions of the operating agreementor, if the operating agreement does not so provide, upon thewritten consent of all members; or in the case of an assignee ofthe interest of a member who has the power, as provided in theoperating agreement, to grant the assignee the right to become amember, upon the exercise of that power in compliance with anyconditions limiting the exercise thereof.
