Directors of corporations, removal of, when, how.

351.317. Any director of the corporation may be removed forcause by action of a majority of the entire board of directors ifthe director to be removed shall, at the time of removal, fail tomeet the qualifications stated in the articles of incorporationor bylaws for election as a director or shall be in breach of anyagreement between such director and the corporation relating tosuch director's services as a director or employee of thecorporation. Notice of the proposed removal shall be given toall directors of the corporation prior to action thereon.
