Board, quorum.

351.325. A majority of the full board of directors shallconstitute a quorum for the transaction of business unless agreater number is required by the articles of incorporation orthe bylaws. The act of the majority of the directors present ata meeting at which a quorum is present shall be the act of theboard of directors, unless the act of a greater number isrequired by the articles of incorporation or the bylaws.
