Decree of dissolution.

351.502. 1. If after a hearing the court determines thatone or more grounds for judicial dissolution described insection 351.494 exist, it may enter a decree dissolving thecorporation and specifying the effective date of thedissolution, and the clerk of the court shall deliver acertified copy of the decree to the secretary of state, whoshall file it.

2. After entering the decree of dissolution, the courtshall direct the winding up and liquidation of the corporation'sbusiness and affairs in accordance with section 351.476 and thenotification of claimants in accordance with sections 351.478and 351.482.
