Statutory merger, foreign corporation, filing required.

351.606. Whenever a foreign corporation authorized totransact business in this state is a party to a statutory mergerwith any other foreign corporation as permitted by the laws ofthe state or** country under which it is organized, and suchcorporation is the surviving corporation, it shall file with thesecretary of state a certificate showing the effective date ofthe merger issued by the proper officer of the state or countryof the surviving corporation. It shall not be necessary for thecorporation to procure either a new or an amended certificate ofauthority to transact business in this state unless the corporatename, corporate duration or the state of incorporation haschanged.
