Annual meeting.

351.815. 1. The annual meeting date for a statutory closecorporation is the first business day after May thirty-firstunless its articles of incorporation, bylaws, or a shareholderagreement authorized by section 351.800 fixes a different date.

2. A statutory close corporation need not hold an annualmeeting unless one or more shareholders deliver written noticeto the corporation requesting a meeting date determined undersubsection 1 of this section.
