Obligations not abated by merger.

352.170. 1. The rights, obligations and relations of eitherof the merged or consolidated corporations in respect to anydebtor or creditor of such corporation shall remain unimpairedand the consolidated corporation shall succeed to all suchrights, obligations and relations.

2. Any pending action or other judicial proceedings to whichany corporation that shall have been so merged or consolidated isa party shall not be deemed to have abated or to havediscontinued by reason of such merger or consolidation, but maybe prosecuted to final judgment in the same manner as if suchmerger or consolidation had not been made; or the consolidatedcorporation may be substituted as a party to such action orproceeding and any judgment, order or decree may be rendered foror against it that might have been rendered for or against suchother corporation if such merger or consolidation had notoccurred.
