355.051. 1. Any person may apply to the secretary of stateto furnish a certificate of existence for a domestic or foreigncorporation.
2. The certificate of existence shall set forth:
(1) The domestic corporation's corporate name or theforeign corporation's corporate name used in this state;
(2) That the domestic corporation is duly incorporatedunder the law of this state, the date of its incorporation, orthat the foreign corporation is authorized to transact businessin this state;
(3) That the corporation has complied with all requirementsof the corporation division of the secretary of state.
3. Subject to any qualification stated in the certificate,a certificate of existence issued by the secretary of state maybe relied upon as conclusive evidence that the domestic orforeign corporation is in good standing in this state.
