355.231. 1. A corporation with members shall hold amembership meeting annually at a time stated in or fixed inaccordance with the bylaws.
2. A corporation with members may hold regular membershipmeetings at the times stated in or fixed in accordance with thebylaws.
3. Annual and regular membership meetings may be held in orout of this state at the place stated in or fixed in accordancewith the bylaws. If no place is stated in or fixed in accordancewith the bylaws, annual and regular meetings shall be held at thecorporation's principal office, or at such other location as maybe specified by the board of directors.
4. At the annual meeting:
(1) The president and chief financial officer shall reporton the activities and financial condition of the corporation; and
(2) The members shall consider and act upon such othermatters as may be raised consistent with the notice requirementsof section 355.251 and subsection 2 of section 355.286.
5. At regular meetings the members shall consider and actupon such matters as may be raised consistent with the noticerequirements of section 355.251 and subsection 2 of section355.286.
6. The failure to hold an annual or regular meeting at atime stated in or fixed in accordance with a corporation's bylawsdoes not affect the validity of any corporate action.
