Required officers.

355.431. 1. Unless otherwise provided in the articles or bylaws, acorporation shall have a chairman or president, or both a chairman andpresident, a secretary, a treasurer and such other officers as areappointed by the board. In addition to other matters, the articles orbylaws may provide for the direct election of officers of the corporationby the members.

2. The bylaws or the board shall delegate to one of the officersresponsibility for preparing minutes of the directors' and members'meetings and for authenticating records of the corporation.

3. The same individual may simultaneously hold more than one officein a corporation.
