Resignation, removal of officers.

355.446. 1. An officer may resign at any time bydelivering notice to the corporation. A resignation is effectivewhen the notice is delivered unless the notice specifies a futureeffective date. If a resignation is made effective at a futuredate and the corporation accepts the future effective date, itsboard of directors may fill the pending vacancy before theeffective date if the board provides that the successor does nottake office until the effective date.

2. A board may remove any officer at any time with orwithout cause.
