355.666. 1. A majority of the incorporators or directorsof a corporation that has no members may, subject to any approvalrequired by the articles or bylaws, dissolve the corporation bydelivering to the secretary of state articles of dissolution.
2. The corporation shall give notice of any meeting atwhich dissolution will be approved. The notice shall be inaccordance with subsection 3 of section 355.386. The notice mustalso state that the purpose, or one of the purposes, of themeeting is to consider dissolution of the corporation.
3. The incorporators or directors in approving dissolutionshall adopt a plan of dissolution indicating to whom the assetsowned or held by the corporation will be distributed after allcreditors have been paid.
