Appeal from denial of reinstatement.

355.721. 1. The secretary of state, upon denying acorporation's application for reinstatement followingadministrative dissolution, shall serve the corporation undersection 355.176 with a written notice that explains the reason orreasons for denial.

2. The corporation may appeal the denial of reinstatementto the circuit court of Cole County within ninety days afterservice of the notice of denial is perfected. The corporationappeals by petitioning the court to set aside the dissolution andattaching to the petition copies of the secretary of state'scertificate of dissolution, the corporation's application forreinstatement, and the secretary of state's notice of denial.

3. The court may summarily order the secretary of state toreinstate the dissolved corporation or may take other action thecourt considers appropriate.

4. The court's final decision may be appealed as in othercivil proceedings.
