Merger or consolidation with another corporation, when.

356.221. 1. A professional corporation may merge orconsolidate with another corporation, domestic or foreign, onlyif every shareholder of each corporation is qualified to be ashareholder of the surviving or new corporation under the lawsapplying to that surviving or new corporation.

2. Upon the merger or consolidation of a professionalcorporation, if the surviving or new corporation, as the case maybe, is to render professional services in this state, it shall bein full compliance with the provisions of sections 356.011 to356.261 immediately after the merger or consolidation.Otherwise, that corporation shall not thereafter be subject tothe provisions of sections 356.011 to 356.261 and shall notprovide professional services in this state.
