Registered limited liability partnership, L.L.P. or LLP to be usedas last words or letters in partnership name.

358.450. 1. The name of a partnership registered pursuant to section358.440 and the name of a foreign registered limited liability partnershipdoing business in this state shall contain the words "Registered LimitedLiability Partnership" or the abbreviation "L.L.P." or "LLP" as the lastwords or letters of its name.

2. The name of a registered limited liability partnership or foreignregistered limited liability partnership shall be such as to distinguish itupon the records in the office of the secretary of state from the name ofany corporation, limited partnership, limited liability company, businesstrust, registered limited liability partnership or foreign registeredlimited liability partnership reserved, registered, formed or organizedunder the laws of this state or qualified to do business or registered as aforeign corporation, foreign limited partnership or foreign limitedliability company in this state; provided, however, that a registeredlimited liability partnership or foreign registered limited liabilitypartnership may register under any name which is not such as to distinguishit upon the records in the office of the secretary of state from the nameof any domestic or foreign corporation, limited partnership, limitedliability company, business trust or registered limited liabilitypartnership or foreign registered limited liability partnership reserved,registered, formed or organized under the laws of this state with thewritten consent of the other corporation, limited partnership, limitedliability company, business trust or registered limited liabilitypartnership or foreign registered limited liability partnership, whichwritten consent shall be filed with the secretary of state.
