Filing with secretary of state--duties of secretary--effectivedate of filing.

359.141. 1. An original copy of the certificate of limitedpartnership and of any certificates of amendment or cancellation (or of anyjudicial decree of amendment or cancellation) shall be delivered to thesecretary of state. A person who executes a certificate as an agent orfiduciary need not exhibit evidence of his authority as a prerequisite tofiling. Unless the secretary of state finds that any certificate does notconform to law, upon receipt of all filing fees required by law, he shall:

(1) Endorse on the document the word "Filed" and the day, month andyear of the filing thereof;

(2) File the original in his office; and

(3) Return a copy to the person who filed it or his representative.

2. Upon the filing of a certificate of amendment (or judicial decreeof amendment) in the office of the secretary of state, the certificate oflimited partnership shall be amended as set forth therein, and upon theeffective date of a certificate of cancellation (or a judicial decreethereof), the certificate of limited partnership is canceled; however, anysuch certificate of amendment or cancellation may provide that it is not tobecome effective until a specified date after its filing date, but suchdate shall not be more than ninety days after its filing date and thecertificate issued by the secretary of state shall indicate such definedeffective date.
