Winding up by partners, when--by circuit court, when.

359.471. Except as provided in the partnership agreement,the general partners who have not wrongfully dissolved a limitedpartnership or, if none, the limited partners, may wind up thelimited partnership's affairs; but the circuit court of thecounty of the principal place of business or of the registeredoffice of the limited partnership may wind up the limitedpartnership's affairs upon application of any partner, his legalrepresentative, or assignee.
