Changes and amendments in registration, when, contents--foreigncertification included--fee.

359.531. 1. A foreign limited partnership authorized to transactbusiness in this state shall obtain an amended certificate of registrationfrom the secretary of state if it changes:

(1) The name of the limited partnership;

(2) The state or country of its registration;

(3) The address of the office required to be maintained in the stateof its organization by the laws of that state or if not so required of theprincipal office of the foreign limited partnership;

(4) The name and business address of any general partner; and

(5) The address of the office at which is kept a list of the namesand addresses and capital contributions of the limited partners.

2. The amendment shall include a certificate of existence or documentof similar import duly authenticated by the secretary of state or otherofficial having custody of the records in the state or country under whoselaws it is registered, such document should be dated within sixty calendardays from filing for acceptance.

3. The fee for filing an amended certificate of registration shall betwenty dollars.
