Stockholders may authorize issuance and sale, when--manner.

362.080. The issuance and sale of its shares of preferredstock by any corporation to which sections 362.075 to 362.100apply may be authorized at any annual meeting of itsstockholders, or at any special meeting thereof called and heldfor that purpose. Notice of * the meeting shall be given asprovided in section 362.044. The preferred shares so issued maybe issued as part of the existing capital of the issuingcorporation, or as an increase of its capital.
