Agreement for merger.

362.630. If the agreement provides for a merger, then itshall set out:

(1) The names of the companies thereto;

(2) The terms and conditions of the merger, and the mode ofcarrying same into effect;

(3) The corporate name of the receiving bank or trustcompany under the merger; the name may be the name in whole or inpart of any bank or trust company which is a party to the merger;

(4) The names of the persons who shall constitute the boardof directors of the receiving company, after the merger isaccomplished, provided that the number and the qualifications ofthe directors shall be in accordance with the provisions of thischapter relating to the number and qualifications of directors ofbanks and trust companies.
