Voting by proxy.

375.191. 1. Every person legally entitled to vote at anyelection, or on any question relating to the management orbusiness of any insurance company organized under the laws ofthis state, may cast his vote by proxy; but the proxy shall be alegal voter of the company, and the authority to cast the voteshall be in writing and shall state the name of the personauthorized to cast the vote and the date of the meeting at whichthe vote shall be cast.

2. The director shall have power to adopt reasonable rulesand regulations relative to the solicitation by domestic stockinsurers of proxies, consent and authorization with respect toequity securities of the stock insurers.
