Duty of director.

379.545. Said director, if satisfied that the saidpropositions for reorganization and extension and continuance ofthe corporate existence of the company under the general laws andarticles of association have been duly adopted, and that the saidarticles of association are in conformity with the generalinsurance statutes of this state, and that said articles ofassociation have been submitted to the attorney general inaccordance with the requirements of section 379.040, if a stockcompany, or of section 379.065, if a mutual company, and havebeen found by him to be in accordance with the provisions of thischapter and not inconsistent with the constitution of this state,or that of the United States, and have been delivered back to himso certified, shall comply with all the requirements of saidsections 379.040 and 379.065 and shall so certify upon saiddeclaration and shall deliver to said company a certified copy ofsaid articles and his certificate, together with authority toreorganize thereunder.
