Duty of director.

379.615. Said director, if satisfied that the proposedsurrender of the existing charter and substitution therefor ofthe articles of association have been duly adopted, and that thesaid articles of association are in conformity with the generalinsurance statutes of this state, and that said articles ofassociation have been submitted to the attorney general inaccordance with the requirements of section 379.040, and havebeen found by him to be in accordance with the provisions of thischapter, and not inconsistent with the constitution of thisstate, or that of the United States, and have been delivered backto him so certified, shall comply with all the requirements ofsaid section 379.040, and shall so certify upon said declaration,and shall deliver to said company a certified copy of saidarticles and his certificate, together with authority to thecompany to reorganize thereunder.
