Certificate of merger issued, when--director and secretary of state'sduties.

380.331. 1. Upon approval or modification of the plan ofmerger, the director shall certify a copy of his order ofapproval and two copies of the articles of merger and forwardsame to the secretary of state.

2. When all required taxes or fees have been paid, thesecretary of state shall file the same keeping one copy as apermanent record and shall issue a certificate of merger and acertified copy of such certificate, to which he shall affix theother copy of such articles.
