Territorial application.

403.320. 1. The rights and duties of a corporation and itstransfer agents in registering a security in the name of afiduciary or in making a transfer of a security pursuant to anassignment by a fiduciary are governed by the law of thejurisdiction under whose laws the corporation is organized.

2. Sections 403.250 to 403.350 apply to the rights andduties of a person other than the corporation and its transferagents with regard to acts and omissions in this state inconnection with the acquisition, disposition, assignment ortransfer of a security by or to a fiduciary and of a person whoguarantees in this state the signature of a fiduciary inconnection with such a transaction.
