Requirements, offeror must send registration statement--solicitations,recommendations, file with commissioner.

409.511. 1. No offeror shall make a takeover bid unless assoon as practicable on the date of commencement of the takeoverbid he files with the commissioner of securities and delivers tothe target company at its principal executive offices aregistration statement containing the information required bysection 409.516.

2. An offeror shall make full and fair disclosure toofferees of the material information set forth in theregistration statement filed pursuant to subsection 1 of thissection.

3. No solicitation or recommendation to the offerees of atarget company to accept or reject a takeover bid shall be madeby or on behalf of an offeror or a target company unless at thetime copies of such solicitation or recommendation are firstpublished, sent or given to such offerees, the person making suchsolicitation or recommendation has filed copies of thesolicitation or recommendation with the commissioner ofsecurities of this state.
