§ 54C-43. Reports of voluntary dissolution.

§ 54C‑43.  Reports ofvoluntary dissolution.

Upon completion ofliquidation, the liquidator shall file with the Commissioner of Banks a finalreport and accounting of the liquidation. The Commissioner of Banks' approvalof the report shall operate as a complete and final discharge of theliquidator, the board of directors, and each member or stockholder inconnection with the liquidation of the savings bank. Upon approval of thereport, the Commissioner of Banks shall issue a certificate of dissolution of thesavings bank and shall record same in the manner required by this Chapter forthe recording of certificates of incorporation. The dissolution is effectiveupon the recording of the certificates of incorporation. (1991, c. 680, s. 1; 2001‑193,s. 16.)
