§ 55-1-20. Filing requirements.

§ 55‑1‑20.  Filingrequirements.

(a)        A document requiredor permitted by this Chapter to be filed by the Secretary of State must befiled under Chapter 55D of the General Statutes.

(b)        A documentsubmitted on behalf of a domestic or foreign corporation must be executed:

(1)        By the chair of itsboard of directors, by its president, or by another of its officers;

(2)        If directors havenot been selected or the corporation has not been formed, by an incorporator;or

(3)        If the corporationis in the hands of a receiver, trustee, or other court‑appointedfiduciary, by that fiduciary.
