§ 55-7-06. Waiver of notice.

§55‑7‑06.  Waiver of notice.

(a)        A shareholder maywaive any notice required by this Chapter, the articles of incorporation, orbylaws before or after the date and time stated in the notice.  The waiver mustbe in writing, be signed by the shareholder entitled to the notice, and bedelivered to the corporation for inclusion in the minutes or filing with thecorporate records.

(b)        A shareholder'sattendance at a meeting:

(1)        Waives objection tolack of notice or defective notice of the meeting, unless the shareholder atthe beginning of the meeting objects to holding the meeting or transactingbusiness at the meeting;

(2)        Waives objection toconsideration of a particular matter at the meeting that is not within thepurpose or purposes described in the meeting notice, unless the shareholderobjects to considering the matter before it is voted upon. (1955,c. 1371, s. 1; 1989, c. 265, s. 1.)
