§ 55‑7‑08. Attendance.

To the extent authorized by acorporation's board of directors, a shareholder or the shareholder's proxy notphysically present at a meeting of shareholders may attend the meeting byelectronic or other means of remote communication that allow the shareholder orproxy (i) to read or to hear the meeting proceedings substantially concurrentlyas the proceedings occur, (ii) to be read or to be heard substantiallyconcurrently as the shareholder or proxy communicates, and (iii) to vote onmatters to which the shareholder or proxy is entitled to vote.
