§ 57C-2-22. Amendment of articles of organization.

§57C‑2‑22.  Amendment of articles of organization.

(a)        The articles oforganization shall be amended when:

(1)        There is a change inthe name of the limited liability company;

(2)        There is a false orerroneous statement in the articles of organization;

(3)        There is a change inthe time as stated in the articles of organization for the dissolution of thelimited liability company; or

(4)        The members desireto make a change in the articles of organization.

(b)        Unless otherwiseprovided in the articles of organization or a written operating agreement, anyamendment to the articles of organization shall require the unanimous vote ofthe members or, if no initial members of the limited liability company havebeen identified in the manner provided in this Chapter, by the unanimous voteof the organizers.
