§ 57C-7-05. Amended certificate of authority.

§ 57C‑7‑05. Amended certificate of authority.

(a)        A foreign limitedliability company authorized to transact business in this State must obtain anamended certificate of authority from the Secretary of State if it changes:

(1)        Its name;

(2)        The period of itsduration; or

(3)        The state or countryof its formation.

(b)        A foreign limitedliability company may apply for an amended certificate of authority bydelivering an application to the Secretary of State for filing that sets forth:

(1)        The name of the limitedliability company and the name in which the limited liability company isauthorized to transact business in North Carolina if different;

(2)        The name of thestate or country under whose law it is formed;

(3)        The date it wasoriginally authorized to transact business in this State; and

(4)        A statement of thechange or changes being made.

Except for the content of theapplication, the requirements of G.S. 57C‑7‑03 for obtaining anoriginal certificate of authority apply to obtaining an amended certificateunder this section. (1993, c. 354, s. 1; 2001‑387, ss. 81, 82.)
