§ 59-207. Liability for false statement in certificate.

§59‑207.  Liability for false statement in certificate.

If any certificate of limitedpartnership or certificate of amendment or cancellation contains a falsestatement, one who suffers loss by reliance on the statement may recoverdamages for the loss from:

(1)        Any person whoexecutes the certificate, or causes another to execute it on his behalf, andknew, and any general partner who knew or should have known, the statement tobe false at the time the certificate was executed; and

(2)        Any general partnerwho thereafter knows or should have known that any arrangement or other factdescribed in the certificate has changed, making the statement inaccurate inany respect within a sufficient time before the statement was relied uponreasonably to have enabled that general partner to cancel or amend thecertificate, or to file a petition for its cancellation or amendment under G.S.59‑205.
