§59‑51.  Partner accountable as a fiduciary.

(a)        Every partner mustaccount to the partnership for any benefit, and hold as trustee for it anyprofits derived by him without the consent of the other partners from anytransaction connected with the formation, conduct or liquidation of thepartnership or from any use by him of its property.

(b)        This sectionapplies also to the representatives of a deceased  partner engaged in theliquidation of the affairs of the partnership as the personal representatives ofthe last surviving partner. (1941, c. 374, s. 21.)
