§ 75E-2. Unlawful activities in connection with business combinations and control share acquisitions.

§75E‑2.  Unlawful activities in connection with business combinations andcontrol share acquisitions.

It shall be unlawful for anyperson:

(1)        To consummate anybusiness combination in violation of Article 9 of Chapter 55 of the GeneralStatutes.

(2)        To make a controlshare acquisition without complying with the provisions of Article 9A ofChapter 55 of the General Statutes.

(3)        To make any untruestatement of a material fact or omit to state any material fact necessary inorder to make the statements made, in the light of the circumstances underwhich they are made, not misleading, or to engage in any fraudulent, deceptive,or manipulative acts or practices, in connection with:  (i) the application ofArticle 9 of Chapter 55 of the General Statutes to any business combination orto the acquisition of beneficial ownership, directly or indirectly, of morethan twenty percent (20%) of the voting shares of a corporation within themeaning of Article 9; or (ii) the application of Article 9A of Chapter 55 of theGeneral Statutes to any control share acquisition.

(4)        To willfully andknowingly aid or abet any other person to engage in conduct which is prohibitedby this Chapter.  (1991, c. 440.)
