5763 - Consent of members in lieu of meeting.
§ 5763. Consent of members in lieu of meeting. Unless otherwise restricted in the bylaws, any action which may be taken at a meeting of the members or of a class of members may be taken without a meeting, if a consent or consents in writing, setting forth the action so taken, shall be signed by all of the members who would be entitled to vote at a meeting for such purpose and shall be filed with the secretary of the corporation.
