SECTION 45-54-4

   § 45-54-4  Resolution conclusive as tocapacity of corporation. – In any suit, action, or proceeding involving the validity or enforcement of, orrelating to, any contract by, or on behalf of, a corporation, the corporationis exclusively deemed to be established and authorized to transact business andexercise its powers upon proof of the adoption of a resolution by the city ortown council declaring the need for the corporation to function.
