SECTION 7-1.2-1413

   § 7-1.2-1413  Filing of application forwithdrawal. – (a) An original application for withdrawal must be delivered to the secretaryof state. If the secretary of state finds that the application conforms to theprovisions of this chapter, the secretary of state shall, when all fees andtaxes have been paid:

   (1) Endorse on the original the word "Filed," and the month,day, and year of the filing.

   (2) File the original in his or her office.

   (3) Issue a certificate of withdrawal.

   (b) The secretary of state shall deliver the certificate ofwithdrawal to the corporation or its representative. Upon the issuance of thecertificate of withdrawal, the authority of the corporation to transactbusiness in this state ceases.
