   § 7-1.2-607  Expenses of organization,reorganization and financing. – The reasonable charges and expenses of organization or reorganization of acorporation, and the reasonable expenses of and compensation for the sale orunderwriting of its shares, may be paid or allowed by the corporation out ofthe consideration received by it in payment for its shares without renderingthe shares not fully paid or assessable.
