SECTION 7-11-301
§ 7-11-301 Registration requirement.– A person may not offer to sell or sell a security in this state unless thesecurity:
(1) Is registered under this chapter;
(2) The security or transaction is exempt under this chapter;or
(3) It is a federal covered security.
