§ 7-12-28 Liability of incoming partner.– A person admitted as a partner into an existing partnership is liable for allthe obligations of the partnership arising before his or her admission asthough he or she had been a partner when the obligations were incurred, exceptthat this liability is satisfied only out of partnership property.
