SECTION 7-12-32

   § 7-12-32  Partner accountable as afiduciary. – (a) Every partner must account to the partnership for any benefit, and hold astrustee for it any profits derived by him or her without the consent of theother partners from any transaction connected with the formation, conduct, orliquidation of the partnership or from any use by him or her of its property.

   (b) This section applies also to the representatives of adeceased partner engaged in the liquidation of the affairs of the partnershipas the personal representatives of the last surviving partner.
