SECTION 7-13-33

   § 7-13-33  Withdrawal of limited partner.– A limited partner may withdraw from a limited partnership only at the time orupon the occurrence of events specified in writing in the partnership agreementand in accordance with the partnership agreement. Notwithstanding anything tothe contrary under applicable law, unless a partnership agreement providesotherwise, a limited partner may not withdraw from a limited partnership priorto the dissolution and winding up of the limited partnership.
